About this role
As the Assistant Company Secretary you will be responsible for a broad range of company secretarial activities, ensuring the provision of company secretarial services for subsidiary companies worldwide, but with a specific focus on the following jurisdictions: Australia, New Zealand, Malaysia, Singapore, Africa, India and Mauritius. In addition, you will provide support to the Company Administrator on a needs basis to support their growth.
This is a contracted role for a max term of 9 months.
What will I do?Coordination and administration of the subsidiary companies as identified under your remit within the Arup Group corporate structure with support from the Global Secretariat teamTake the lead on the preparation and coordination of board meetings under your remit, including timetabling of meetings, drafting agendas, resolutions and papers, pulling together all other required reports from management and collation and uploading of board packs to online board portal, preparation of Chairs crib notes, maintaining actions lists and following up of actions from meetings Attendance at board meetings to take minutes and ensure smooth running of meetingsEnsure all regulatory filings are maintained and up to date for companies under your remitEnsure the Arup governance framework is consistently applied across all subsidiaries
What will I bring?A Chartered Governance professional with at least 5-10 years working experience in the field Wide ranging company secretarial experience in other medium to large-sized global companies covering all areas of responsibility Good knowledge of relevant company law in the jurisdictions for companies under your remitExperience of maintenance of company secretarial databases, preferably Diligent (or similar)Strong technical knowledge and ability to interpret, communicate and apply corporate law and governanceBe hands on, get involved with issues and support colleagues pro-actively and constructively
